These Terms of Service ("Terms") govern your Banche Labs account — creating it, holding it, securing it, signing in with it, and closing it (the "Account"). The Account is operated by Banche Labs, Inc., a Delaware corporation. References in these Terms to "Banche Labs," "we," "us," or "our" refer to Banche Labs in its capacity as operator of the Account.
By creating an Account, or by accepting these Terms when we ask you to, you agree to be bound by these Terms. If you do not agree, do not create or use an Account.
If you use or purchase a Banche Labs product, that product's terms govern your use and purchase of it, and they control if they conflict with these Terms.
1. Eligibility
You must be at least 18 years old, or the age of majority where you live if that is higher, to hold an Account. By agreeing to these Terms, you represent that you meet this requirement. If you hold or use an Account on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If we learn that an Account belongs to someone who does not meet this requirement, we will close the Account and delete its data.
2. Your Account
You agree to provide accurate information for your Account and to keep the contact email address on your Account current. Keeping that address able to receive our messages is your responsibility.
We give you notice under these Terms by sending it to the contact email address on your Account or by showing it in your Account. A notice is given when we send it or show it.
You are responsible for all activity under your Account and for the security of the devices and credentials you use to sign in. You agree to tell us promptly of any unauthorized use of your Account.
3. Conduct
You may not misuse the Account. Misuse includes, without limitation:
- Interfering with, circumventing, disabling, or tampering with the security or integrity of the Account or of any Banche Labs site or product
- Accessing another person's account or data without authorization, or impersonating anyone
- Creating accounts by automated means or under false pretenses
- Using the Account in violation of any law
- Setting an account picture that infringes another's rights, is unlawful, or impersonates anyone
We may act on any misuse as described in these Terms. We have no obligation to monitor for it.
4. Communications
We send you messages about your Account, including messages about signing in, security, changes to these Terms, and other notices. These messages are part of holding an Account, and you cannot opt out of them while your Account is open.
5. Your Account Picture
You may set a picture on your Account (your "Account Picture").
Ownership
You retain all ownership rights in your Account Picture. We do not claim ownership of your Account Picture.
License
By setting an Account Picture, you grant Banche Labs a worldwide, royalty-free license, sublicensable solely to service providers operating the Account on our behalf, to host, store, reproduce, and display your Account Picture across Banche Labs' sites and products, and to make the technical modifications its display requires (such as resizing, cropping, and format conversion), for the purpose of operating the Account. This license lasts for as long as the Account Picture is set on your Account.
Your Responsibility
You represent that you have all rights necessary to grant this license. You are responsible for your Account Picture.
Removal
We may, but are not obligated to, remove your Account Picture at any time, and display a default image in its place.
Copyright
We respect the intellectual property rights of others. If you believe an Account Picture infringes your copyright, send a notice to our designated DMCA agent:

We will respond to valid notices of alleged infringement and may close the Accounts of repeat infringers.
Content Moderation
We may use automated tools and human review to enforce these Terms. If you are in the European Union and we remove your Account Picture or restrict your Account, we will provide you with a statement of reasons.
6. Feedback
Feedback, suggestions, and other messages you send us, through any Banche Labs site or product or otherwise, are assigned to Banche Labs, and we may use them without obligation to you.
7. Intellectual Property
Banche Labs' software, sites, and services, including their design, code, visual elements, and documentation, and Banche Labs' names and marks, are the property of Banche Labs or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from them, except as a license that comes with them, or a Banche Labs product's terms, permit. We grant you a limited, personal, non-transferable, revocable permission to use the Account as we provide it.
8. Suspension, Termination, and Closing Your Account
We may suspend or close your Account, or suspend or end your access to any or all Banche Labs products, at any time and for any reason, including a violation of any Banche Labs product's terms. We will make reasonable efforts to notify you before doing so, except where the violation is severe or notice would be unlawful or unsafe. We have no obligation to maintain your access to any Banche Labs product while your Account is suspended, after it is closed, or after we have ended your access to another Banche Labs product.
You may close your Account at any time.
When your Account is closed, by you or by us, your permission to use the Account ends immediately, and so does your access to every Banche Labs product you signed into with it.
9. Disclaimer of Warranties
THE ACCOUNT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANCHE LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE ACCOUNT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANCHE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE ACCOUNT.
IN NO EVENT SHALL BANCHE LABS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE ACCOUNT EXCEED ONE HUNDRED US DOLLARS ($100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Banche Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of any law; or (c) your violation of any third party's rights through your Account.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Account shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.
If you are a consumer in the European Union, nothing in this section deprives you of the protection afforded by mandatory provisions of the law of your country of residence or limits your right to bring proceedings in the courts of your country of residence.
Any claim arising out of or related to these Terms or the Account must be filed within one (1) year after the claim arose, or it is permanently barred.
13. Changes to These Terms
We may change these Terms. We will give you notice of a material change at least one month before it takes effect, and from the date it takes effect we will ask you to accept the revised Terms before you continue to use your Account. A change that is not material, such as a typo fix or a clarification that does not alter any right or obligation, takes effect when we publish it.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay arises from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, power failures, internet or telecommunications failures, or third-party service outages.
15. Privacy
Our Privacy Policy describes how Banche Labs handles your personal data.
16. General Provisions
Entire Agreement. These Terms are the entire agreement between you and Banche Labs regarding the Account and replace all prior versions of these Terms.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
No Relationship. Holding an Account does not create an employment, agency, partnership, or joint venture relationship between you and Banche Labs.
Assignment. You may not assign or transfer your rights or obligations under these Terms. We may assign our rights and obligations without restriction.
Survival. The sections on intellectual property, feedback, disclaimer of warranties, limitation of liability, indemnification, governing law and disputes, and general provisions survive the closing of your Account and any termination of these Terms.
Export Controls. You may not use the Account in violation of any applicable export control or sanctions laws. You represent that you are not located in, or a resident of, any country subject to a US government embargo, and that you are not on any US government list of prohibited or restricted parties.
California Consumer Complaints. Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
